I'd recommend making this a single checkbox. For inactive companies, you would check this box and could exclude contacts where this property is checked in filtered views, lists, reports.
That way it would be flagged clearly, they can be excluded but easily retrieved.

How do I mark a Company as Dead without deleting it?

Not sure if this is part of an outreach campaign where you're trying to get in touch with a specific company or if there's an existing deal associated with a company. I'd suggest using contacts and/or deals to track your progress instead.
You can set up lead statuses on contacts associated with a specific company as well as create relevant deal stages on deals. When it's looking like it's not moving forward, instead of marking the company "dead", update the lead status to "unqualified" on the contact or move the deal stage to "lost". This way the company is untouched and you can use filters based on leads statuses or deal stages.
